1. Acceptance of Terms

By accessing or using townhall (“the Service”), operated by DonorKit, Inc., doing business as townhall (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and DonorKit, Inc. We encourage you to read them carefully before using our Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use our Service. By using our Service, you represent and warrant that you meet these eligibility requirements.

3. Description of Service

townhall provides a backend-as-a-service platform that includes:

  • Form submission handling and storage
  • File upload and CDN hosting
  • Short link creation and click tracking
  • Contact/CRM management
  • Email notifications and marketing tools
  • Webhook notifications
  • API access for developers
  • Analytics and reporting
  • Team collaboration features

4. Account Registration

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized access or security breaches
  • Keeping your account information up to date

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on the intellectual property rights of others
  • Transmit spam, phishing attempts, malware, or other harmful content
  • Collect personal data without proper consent or in violation of privacy laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service in any way that could damage or overburden our infrastructure
  • Resell or redistribute the Service without authorization
  • Engage in any activity that is fraudulent, deceptive, or misleading
  • Harass, abuse, or harm others through the Service
  • Use automated means to access the Service except through our official API

6. Subscription Plans & Billing

6.1 Free Tier

We offer a free tier with limited features and usage caps. Free accounts may be subject to additional restrictions and are provided without any service level guarantees.

6.2 Paid Plans

Paid subscriptions (Personal, Professional, Business) are billed on a monthly or annual basis as selected during checkout. All fees are non-refundable except as described in these terms. Prices are subject to change with 30 days notice.

6.3 Lifetime Plan

Lifetime Plan Terms

The Lifetime plan provides permanent access to Professional-tier features for a one-time payment. This plan is subject to the following conditions:

  • Access continues for as long as the Service remains operational
  • If the Service is discontinued, lifetime plan holders who received less value than the equivalent Pro plan monthly cost will receive a prorated refund upon request
  • For example: If you paid $199 for lifetime and the Pro plan costs $19/month, after 11+ months of service you have received equivalent value and no refund would be issued
  • If service is discontinued before you have received equivalent value (e.g., 5 months of service), you may request a prorated refund for the unused portion

6.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. No partial refunds are provided for unused time within a billing cycle.

Refund requests for annual subscriptions may be considered on a case-by-case basis within 14 days of purchase. Contact us at billing@townhall.gg for refund inquiries.

7. Data and Content

7.1 Your Data

You retain all rights to the data and content you submit to our Service. By using our Service, you grant us a limited, non-exclusive license to store, process, and transmit your data as necessary to provide the Service.

7.2 End User Data

If you collect data from end users through forms or other features, you are responsible for ensuring compliance with applicable data protection laws. You must provide appropriate privacy notices to your end users and obtain any necessary consents.

7.3 Data Retention

We retain your data for as long as your account is active. Upon account deletion, your data will be permanently removed within 30 days, except where retention is required by law or for legitimate business purposes (such as fraud prevention).

7.4 Data Export

You may export your data at any time using our dashboard export features or API. We support common data formats to facilitate data portability.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, functionality, branding, and software, is owned by DonorKit, Inc. (d.b.a. townhall) and is protected by international copyright, trademark, patent, and other intellectual property laws.

8.2 Feedback

If you provide feedback, suggestions, or ideas about our Service, you grant us a royalty-free, worldwide, perpetual license to use and incorporate such feedback without any obligation to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review it carefully.

10. Third-Party Services

Our Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of such services is at your own risk and subject to their respective terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONORKIT, INC. (D.B.A. TOWNHALL) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless DonorKit, Inc. (d.b.a. townhall), its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will make reasonable efforts to notify users of significant changes.

Service Discontinuation Notice

In the event of service discontinuation, we will provide at least 30 days notice to allow you to export your data. Lifetime plan holders will be eligible for prorated refunds as described in Section 6.3.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not relieve you of any obligations to pay outstanding fees.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any claim, you agree to first contact us at legal@townhall.gg and attempt to resolve the dispute informally for at least 30 days.

16.2 Arbitration

Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be finally settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and take place in Delaware, United States, or remotely at the discretion of the arbitrator.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us regarding your use of the Service and supersede all prior agreements and understandings.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page, updating the “Last updated” date, and sending you an email notification. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
